Terms of Service

01 Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you ("you," the "Customer") and DataWing, Inc. ("DataWing," "we," "us," or "our"). By creating an account, installing the extension, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

02 The Service

DataWing is a browser extension and related cloud services that display your Shopify or WooCommerce store's context (such as order history, lifetime value, and tracking status) alongside WhatsApp Web and WhatsApp Business, and that provide features including smart reply snippets, clickable order links, abandoned-cart recovery, voice-to-text transcription, and inbox triage.

We may add, change, or remove features over time. We will make reasonable efforts to maintain the Service, but it is provided on an ongoing basis and may occasionally be unavailable for maintenance or factors beyond our control.

03 Accounts & eligibility

To use the Service you must be at least 16 years old and capable of forming a binding contract. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at support@datawing.ai if you suspect any unauthorized use.

04 Free trial & billing

Free trial

We offer a 7-day free trial, with no credit card required to start. At the end of the trial, the Service continues only if you choose to subscribe. We may modify or discontinue trials at any time.

Subscription & fees

Paid access to the Service is billed as a subscription at the price displayed at sign-up (currently a flat $29 per month). Subscriptions renew automatically each billing period until cancelled. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis.

We may change our fees on a going-forward basis; if we do, we will give you advance notice, and the new fee will apply at your next renewal.

05 Cancellation & refunds

You may cancel your subscription at any time from within the extension or by contacting us. Cancellation takes effect at the end of your current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable and we do not provide prorated refunds for partial periods.

06 Acceptable use

You agree not to, and not to permit others to:

• Use the Service in violation of any law or the terms of Shopify, WooCommerce/WordPress, WhatsApp, Meta, or Google
• Send spam, unsolicited, or unlawful messages, or otherwise misuse WhatsApp through the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law
• Resell, sublicense, or provide the Service to third parties without our written consent
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it
• Use the Service to process data you are not authorized to access

We may suspend or terminate access for conduct that violates this section.

07 Third-party services

The Service integrates with and depends on third-party platforms, including Shopify, WooCommerce / WordPress, WhatsApp (Meta), Google Chrome, and Stripe. Your use of those platforms is governed by their own terms and policies. DataWing is an independent product and is not affiliated with, endorsed by, or sponsored by Shopify, WooCommerce, WhatsApp, or Meta.

We are not responsible for the availability, accuracy, or practices of third-party services, and changes they make may affect the functionality of DataWing.

08 Your data & responsibilities

You retain all rights to your store data and your customers' data ("Customer Data"). You grant DataWing a limited license to access and process Customer Data solely to provide and improve the Service, as described in our Privacy Policy.

You are responsible for ensuring you have the necessary rights and consents to use the Service with your Customer Data and to communicate with your customers via WhatsApp, and for complying with all applicable privacy and marketing laws in your jurisdiction.

09 Intellectual property

The Service, including the extension, software, designs, text, and the DataWing name and logo, is owned by DataWing and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription. We reserve all rights not expressly granted.

If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

10 Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind.

To the fullest extent permitted by law, DataWing disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. Any data, transcriptions, or context displayed by the Service are provided for convenience and may contain inaccuracies; you are responsible for verifying information before relying on it.

11 Limitation of liability

To the fullest extent permitted by law, DataWing and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) USD $100.

12 Indemnification

You agree to indemnify and hold harmless DataWing and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Data, your communications with customers, or your violation of these Terms or applicable law.

13 Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other users, or third parties. Upon termination, your license to use the Service ends, and we will handle your data as described in our Privacy Policy. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14 Changes to the terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

15 Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the courts located in Delaware, and you consent to their personal jurisdiction, except where applicable law gives you the right to bring proceedings in your local courts.
